1. Terms

This website is operated by TrackIt RMS. Throughout the site, the terms “we”, “us”, and “our” refer to TrackIt RMS. TrackIt RMS offers this website, including all information, tools and Services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here. By visiting our site and/or purchasing something from us, you engage in our “Services” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”, “Terms & Conditions”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including, without limitation, users who are browsers, vendors, customers, merchants, and/or contributors of content. Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. 2. Terms of use of the Services

The Customer shall: 2.1 comply with any and all instructions provided to the Customer by TrackIt RMS relating to the Service.2.2 comply with the terms of the Privacy Policy.2.3 not use the Services for any immoral or illegal purpose or in any way that would bring TrackIT RMS into disrepute.2.4 be responsible for any and all charges or payments payables to any governmental or regulatory authority, body, or organisation incurred as a result of or in connection with the use by the Customer of the Services.

3. Free Trial

3.1 Our Free Trial is given to all customers that join the TrackIt RMS Service. The free trial will last for seven (7) days. Within this time, we strongly recommend selecting a subscription.3.2 Failure to select a plan after the seven days expires will result in TrackIt RMS restricting access to the Customer's account.3.3 Failure to select a plan after 15 days will result in the termination of these Terms, and TrackIt RMS reserves the right to remove any unwanted data.

4. Pricing and payment

4.1 For the purpose of these Terms, “Charge” shall mean the rate as posted on our Site and refer to your subscription to TrackIt RMS's Services.4.2 In consideration of the supply of the Service, the Customer agrees to pay TrackIT RMS the Charge in accordance with the payment terms advertised on the Site at the relevant time.4.3 TrackIt RMS shall send an electronic receipted invoice to the Customer upon receipt by TrackIt RMS of the relevant payment.4.4 If the Customer fails to pay any amount payable by it under the Terms, then TrackIT RMS reserves the right to restrict access to the Services until payment is made. TrackIt RMS reserves the right to remove stored data after one (1) month of the subscription renewal date if payment is not made. Failure to pay may lead to data being removed from the Services.4.5 No refund of any Charge shall be given back under any circumstances.

5. Termination

The Customer shall be deemed to have terminated the Terms if:5.1 The Customer does not elect to subscribe to the Services at the end of any trial period advertised on the Site.5.2 The Customer cancels their subscription to the Services or fails to pay TrackIt RMS for a subsequent renewal.5.3 The Customer commits a breach of the Terms. TrackIt RMS reverse the right to restrict access until the matter has been resolved.5.4 TrackIt RMS reserves the right to terminate any Customer's subscriptions without prejudice. The Customer will receive 14 days' warning before the Customer's subscription is terminated.

6.Consequences of termination

6.1 Upon termination of the Terms, TrackIt RMS shall cease to make the Service available to the Customer. Upon termination of the Terms for any reason, TrackIt RMS reserves the right to remove any unwanted data. TrackIt RMS is not liable for the loss of any data and documentation removed upon the termination.

7. Liability and indemnity

7.1 TrackIt RMS shall not be liable to the Customer for any loss of profits or goodwill or any other type of special, indirect or consequential loss or revenue of any nature whatsoever.7.2 You agree to indemnify, defend and hold harmless TrackIt RMS and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third-party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

8. Confidentiality

8.1 All information belonging to or relating to a party, including without limitation information concerning business plans, customers, supplies, services, intellectual property and/or financial results received by the other party as a result of entering into or performing the Terms which is designated as confidential by the disclosing party or is otherwise clearly confidential in nature constitutes "confidential information".8.2 Each party agrees not to use confidential information for any purpose other than the purpose for which it is supplied under the Terms and agrees not to divulge confidential information received from the other party to any of its employees who do not need to know it, and to prevent its disclosure to or access by any third party without the prior written consent of the disclosing party except to its professional advisers or as may be required by law or any legal or regulatory authority.8.3 Each party will use a reasonable degree of care which in any event will not be less than the same degree of care which the receiving party uses to protect its own confidential information to keep, and ensure that its employees and agents keep, confidential information confidential.
